The HKCA is proposing changes to its Constitution that would see a revision to the structure of the HKCA Executive and amendments to the Memorandum & Articles of Association (M&A) to change the way voting is conducted at meetings. The change would introduce a team-based voting system rather than voting by individual members. An explanation of the changes and the reasons for making them is outlined in the following notice issued by the HKCA Hon. Secretary, John Cribbin.

Amended Constitutional documents have already been lodged with the Registrar of Companies and, pending acceptance of these, an Extraordinary General Meeting (EGM) will be called by the HKCA for members to consider and, if agreed, to approve the changes. A 75% majority of those attending the EGM is necessary to change the M&A. Once the EGM has taken place then the 2010 AGM will be called under the revised M&A provided this can be done by the end of August. Should there be any delay in this timetable, an AGM will be held by the end of August under the existing M&A.
